These Terms and Conditions (“Terms”) govern your access to and use of skyointernational.com (the “Website”) and any enquiries, quotations or purchases made through or as a result of it. The Website is operated by Skyo Sphere FZ L.L.C, trading as Skyo International (“Skyo International”, “we”, “us” or “our”), a company established in Dubai, United Arab Emirates.

By accessing or using the Website, or by placing an order with us, you agree to these Terms. If you do not agree, please do not use the Website.

1. About the Website

The Website presents our range of sanitary ware and bathroom solutions, including bathtubs, faucets and mixers, kitchen sinks, smart bathroom solutions and accessories. The Website is a showcase and enquiry platform. Unless we expressly state otherwise, products cannot be purchased directly on the Website; orders are arranged through our team following an enquiry and written quotation.

2. Eligibility

You must be at least 18 years old and legally capable of entering into a binding contract under UAE law to use the Website or place an order. If you act on behalf of a company, you confirm that you are authorised to bind that company to these Terms.

3. Product Information

We make reasonable efforts to ensure that product descriptions, images, dimensions, finishes, specifications and availability shown on the Website are accurate. However:

  • colours and finishes may vary slightly from what appears on your screen;
  • specifications, models and designs may change without notice as products are updated or discontinued;
  • images are for illustration and may not show the exact product supplied;
  • technical details should be confirmed with our team before you rely on them for design, installation or compliance purposes.

4. Enquiries, Quotations and Orders

  • Submitting an enquiry through the Website, email or WhatsApp does not create a binding contract.
  • A quotation is an invitation to order and is valid for the period stated in it (or, if none is stated, for 14 days). Prices and availability may change after that.
  • A contract is formed only when we confirm your order in writing (including by email or WhatsApp) and, where applicable, receive the required deposit or payment.
  • We may decline or cancel any order, for example due to stock unavailability, pricing or description errors, or where we suspect fraud, and will refund any amount already paid for that order.

5. Prices and Taxes

Prices are quoted in UAE Dirhams (AED) unless stated otherwise. Unless a quotation states that prices are inclusive, Value Added Tax (VAT) at the applicable UAE rate and any other applicable taxes or duties are added at checkout or invoice stage. We reserve the right to correct pricing errors, even after an order has been confirmed, in which case you may cancel the affected order without penalty.

6. Payment

Payment terms, including any deposit, will be set out in the quotation or invoice. Unless agreed otherwise, we may require payment in full or a deposit before processing or shipping an order. Accepted payment methods will be stated on the invoice, and may include bank transfer or other methods we agree with you. Ownership of goods remains with us until we have received full payment. Late payments may result in suspension of the order and, where permitted by UAE law, recovery of reasonable collection costs.

7. Delivery

  • Delivery dates and lead times are estimates only and are not guaranteed unless confirmed in writing.
  • We are not liable for delays caused by events beyond our reasonable control (see Section 14).
  • You are responsible for providing an accurate delivery address and ensuring that someone is available to receive and inspect the goods.
  • Delivery within the UAE is subject to location and product availability. Export or delivery outside the UAE is subject to separate agreement, and the buyer is responsible for import duties, customs clearance and local compliance.
  • Risk in the goods passes to you on delivery.

8. Inspection, Returns and Cancellations

  • Inspection: please inspect goods on delivery. Any visible damage, shortage or incorrect item must be noted on the delivery note and reported to us in writing within 48 hours of delivery, with photographs.
  • Returns: goods that are unused, unopened and in their original packaging may be returned only with our prior written approval. Return and restocking charges may apply.
  • Made-to-order and special items: custom, made-to-order, special-order, installed or altered products cannot be cancelled or returned unless defective.
  • Cancellations: cancellation after order confirmation is subject to our written agreement and may incur charges for costs already incurred.

Nothing in this section limits any mandatory rights you have as a consumer under UAE Federal Law No. 15 of 2020 on Consumer Protection and its executive regulations.

9. Warranty

Products may carry a manufacturer’s or Skyo International warranty against defects in materials and workmanship for the period stated in the product documentation or quotation. Warranty does not cover damage resulting from incorrect installation, misuse, lack of maintenance, use of unsuitable cleaning products, modification, normal wear and tear, or installation by unqualified persons. To make a claim, contact us with your order details and photographs of the issue. Where a valid claim is accepted, we will, at our option, repair, replace or refund the affected product.

10. Installation

Unless we have expressly agreed to provide installation in writing, installation is your responsibility. We strongly recommend that products are installed by a qualified and licensed professional, in accordance with the manufacturer’s instructions and applicable UAE building, plumbing and electrical regulations.

11. Intellectual Property

All content on the Website, including text, images, photographs, videos, logos, trademarks, product designs and layout, is owned by or licensed to Skyo International and is protected by UAE copyright and intellectual property laws (including Federal Decree-Law No. 38 of 2021 on Copyright and Neighbouring Rights and Federal Decree-Law No. 36 of 2021 on Trademarks). You may view and print pages for your personal or internal business use, but you may not copy, reproduce, republish, modify, distribute or use any content for commercial purposes without our prior written consent. Third-party brand names and marks belong to their respective owners.

12. Acceptable Use

You agree not to:

  • use the Website for any unlawful, fraudulent or harmful purpose, or in breach of UAE law;
  • attempt to gain unauthorised access to the Website, its servers or data;
  • introduce viruses, malware or other harmful code;
  • scrape, harvest or copy Website content or data by automated means without our permission;
  • submit false, misleading or defamatory information in any enquiry;
  • use the Website in a way that disrupts its operation or other users’ experience.

Breach of this section may result in restriction of your access and, where appropriate, referral to the relevant UAE authorities, including under Federal Decree-Law No. 34 of 2021 on Combatting Rumours and Cybercrimes.

13. Limitation of Liability

To the fullest extent permitted by UAE law:

  • the Website and its content are provided “as is” and “as available”, and we do not guarantee that it will be uninterrupted, error-free or free of harmful components;
  • we are not liable for any indirect, incidental or consequential loss, loss of profit, revenue, business or goodwill arising from your use of the Website or our products;
  • our total liability in connection with any order is limited to the price paid by you for the specific product giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under UAE law, including liability for fraud, gross negligence or wilful misconduct, or any mandatory consumer rights.

14. Force Majeure

We are not liable for any failure or delay in performing our obligations caused by events beyond our reasonable control, including natural disasters, extreme weather, fire, epidemic, war, civil unrest, government action, supply chain or shipping disruption, port delays, power or telecommunications failure, or manufacturer delays. Where such an event continues for an extended period, either party may cancel the affected order, and we will refund amounts paid for goods not delivered.

15. Third-Party Links and Services

The Website may contain links to third-party sites and services, such as social media platforms and WhatsApp. We do not control or endorse them and are not responsible for their content, availability or privacy practices. Use of those services is at your own risk and subject to their own terms.

16. Privacy

Your use of the Website and our handling of your personal data are also governed by our Privacy Policy, which forms part of these Terms.

17. Changes to These Terms

We may update these Terms from time to time. The latest version will be posted on this page with the “Last updated” date. Your continued use of the Website after changes are posted constitutes acceptance of the updated Terms. Orders already confirmed remain subject to the Terms in force when they were confirmed.

18. General

  • Entire agreement: these Terms, together with any confirmed quotation or invoice, form the entire agreement between you and us regarding their subject matter.
  • Severability: if any provision is found invalid or unenforceable, the remaining provisions continue in effect.
  • No waiver: a failure or delay in enforcing a right is not a waiver of that right.
  • Assignment: you may not transfer your rights or obligations under these Terms without our written consent. We may assign ours to an affiliate or successor.
  • Language: if these Terms are translated, the English version prevails to the extent permitted by law.

19. Governing Law and Disputes

These Terms are governed by the laws of the United Arab Emirates as applied in the Emirate of Dubai. We encourage you to contact us first so that we can try to resolve any dispute amicably. Failing that, the courts of Dubai shall have exclusive jurisdiction, without prejudice to any mandatory right you may have to bring a complaint before the relevant consumer protection authority.
